IAP2A Members | What Do You Think About a Change to the IAP2A Constitution?

We are seeking IAP2 Australasia (IAP2A) member thoughts and feedback on a proposed change to the IAP2A Constitution that reflects evolving best practices in governance.

IAP2A has experienced a significant transformation over the last decade, embarking on complex, multi-year projects requiring sustained leadership and oversight. These initiatives are crucial to our mission and are driven and supported by the dedication of the IAP2A Board.

During the Board retreat in August 2022, extensive discussions led to the unanimous decision to propose extending the maximum continuous term for directors from six to nine years.

This proposed change is grounded in the principle that longer tenure for directors ensures continuity and stability, and deepens institutional knowledge within the organisation. By aligning our governance structure with best practices recommended by governance experts, we aim to enhance our Board’s effectiveness and efficiency.

Allowing directors who contribute significantly to the organisation, to serve up to nine years, will support our ability to deliver on complex initiatives more effectively.

We believe that updating the director tenure to a maximum of nine years, in line with best practices, will significantly benefit our organisation by leveraging the experience and insights of our dedicated board members over a more extended period. This change is proposed as a strategic move to enhance our governance framework to support IAP2A’s long-term goals and success.

What is the Proposal?

It is proposed to change Clause 41.6 of the current IAP2A Constitution.

Clause 41.6 (Current version):

A director who has held office for a continuous period of six years or more may only be re-appointed or re-elected by a special resolution.

Clause 41.6 (Proposed change):

A director who has held office for a continuous period of nine years or more may only be re-appointed or re-elected by a special resolution.

Important to note: It is important for members to note that the election process remains unchanged, if a director decides to stand for an additional term, they still need to be re-elected. Members will continue to decide if they feel that the director should return for an additional term and vote accordingly at election time.

What’s Next?

Once the feedback has been collected and collated the IAP2A Company Secretary and Board Members will review the information and make a recommendation, ensuring that our actions reflect the collective voice of our members.

The feedback received in this process will be instrumental in shaping the final proposal to be presented at the Extraordinary General Meeting (EGM) on Tuesday, 30 April 2024.
